Terms and Conditions

WITH-IT TUTORS LLP – CLIENT TERMS OF BUSINESS

Version 2.0 – August 2026

These terms are between you, the parent, guardian or carer registering with us (the “Client”, “you”), and WITH-IT TUTORS LLP, a limited liability partnership registered in England and Wales (registered number OC453139) whose registered office is at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, VAT number 517187775 (“we”, “us”, “our”). Contact: info@withit-tutors.com, +44 (0) 7356 280290.

Summary of how this works. WITH-IT TUTORS LLP is an employment agency regulated under the Employment Agencies Act 1973 and the Conduct of Employment Agencies and Employment Businesses Regulations 2003. We introduce self-employed professional tutors to you. Your contract for tuition is made directly with the Tutor, on the Standard Tuition Terms shown to you at registration and at booking. We are not a party to that contract and we do not provide, supervise or deliver the tuition. Two separate charges make up the price you pay: the Tutor’s fee, which goes directly to the Tutor, and our Agency Fee, which is the charge of WITH-IT TUTORS LLP for its services. Our Agency Fee is set by us and varies from engagement to engagement. Before you book a payable lesson we will show you the Tutor’s fee, our Agency Fee and the total as three separate figures. Both charges are collected in a single payment that is split at source by our payment provider, and each is invoiced to you separately.

These terms govern our services to you. In these terms: “Tutor” means a self-employed tutor we introduce to you; “Learner” means the child receiving tuition; “Platform” means our TutorCruncher-based systems and associated Stripe payment facilities; “Standard Tuition Terms” means the terms of your direct contract with a Tutor; and “Agency Fee” means our charge under clause 4.

1. Our services

1.1 We provide the following services to you: identifying and introducing Tutors suited to the Learner’s needs; carrying out the vetting checks described in clause 3; operating the Platform through which lessons are booked, scheduled and paid; and providing support in the event of questions or complaints.

1.2 We will use reasonable care and skill in selecting and introducing Tutors. We do not guarantee that any Tutor will be available, that an introduction will result in a booking, or any particular educational outcome. Tutors are self-employed professionals responsible for their own tuition.

1.3 By registering, you appoint us to conclude the Standard Tuition Terms with Tutors on your behalf, so that a binding contract between you and the Tutor is formed each time you book a lesson through the Platform, at the price displayed at booking. The price displayed at booking is always the total you will pay, broken down into the Tutor’s fee and our Agency Fee.

2. Registration and your account

2.1 You must be at least 18, have parental responsibility for (or the authorisation of the person with parental responsibility for) the Learner, and provide accurate information when registering. You are responsible for keeping your account credentials secure.

3. Vetting and information about Tutors

3.1 Before introducing a Tutor to you, we will have: verified the Tutor’s identity; confirmed their right to work in the form prescribed by law; obtained an Enhanced DBS check including a check of the Children’s Barred List (with ongoing status checks through the DBS Update Service); obtained two written references; and obtained the Tutor’s agreement to our Safeguarding Handbook.

3.2 Before introducing a Tutor to you we will give you the Tutor’s name, their relevant experience, and confirmation that they are willing to take on the position. Copies of the Tutor’s references are available on request.

3.3 If you require a Tutor to hold a particular qualification or authorisation, tell us before we search and we will confirm it with the Tutor and provide evidence of it to you before making the introduction.

4. Quotations and our Agency Fee

4.1 When you ask us to find a Tutor we will give you a quoted hourly price. That price comprises the Tutor’s hourly fee and our Agency Fee. A quotation is an estimate given before a Tutor has been confirmed to you and is not a binding price.

4.2 Once we have confirmed a Tutor we will give you a link to the job on the Platform showing the Tutor’s hourly fee, our Agency Fee and the total hourly price as three separate figures. If the confirmed Tutor’s rate differs from the rate on which your quotation was based, the revised breakdown and total will be shown to you and no lesson will be booked until you accept it.

4.3 Our Agency Fee is charged per lesson and is payable in addition to the Tutor’s fee. It is set by WITH-IT TUTORS LLP and varies from engagement to engagement. The applicable Agency Fee for a lesson is always the amount displayed at booking, and is itemised separately before you commit to the lesson. Our Agency Fee is inclusive of VAT at the applicable rate.

4.4 Introductory pricing. No Agency Fee or Tutor’s fee is charged for a free introductory consultation. Where a Tutor’s introductory pricing applies (150% of their standard rate for your first two paid lessons), our Agency Fee for those two lessons is reduced by the same amount, so the total price you pay is identical for every paid lesson with that Tutor. The total price and its two components are displayed at booking.

4.5 The Agency Fee is payable for every lesson booked through the Platform for which the Tutor’s fee is payable, including lessons cancelled by you with less than 6 hours’ notice where the Tutor charges the cancellation fee under the Standard Tuition Terms. If the Tutor waives their fee, or cancels the lesson, no Agency Fee is payable.

5. Payment

5.1 The Tutor’s fee and the Agency Fee are collected together in a single payment through the Platform, processed by Stripe. The payment is split at source: the Tutor’s fee is paid into the Tutor’s own Stripe account and never enters the accounts of WITH-IT TUTORS LLP, and the Agency Fee is paid to WITH-IT TUTORS LLP. Each of the Tutor and WITH-IT TUTORS LLP bears its own costs of the payment facility.

5.2 You must keep a valid payment method registered on the Platform. Lessons are charged when the Tutor marks them as delivered (or as chargeable following a late cancellation). If a payment fails, we may suspend further bookings until it is resolved.

5.3 All bookings with Tutors we have introduced must be made and paid through the Platform. If tuition from an introduced Tutor is arranged or paid outside the Platform, the Agency Fee remains payable to us for each lesson delivered, and we may invoice you for it directly.

6. Cancellations and refunds

6.1 Lesson cancellations are governed by your contract with the Tutor: cancellations with less than 6 hours’ notice are chargeable in full; cancellations with more notice are free; lessons cancelled by the Tutor are free and will be rearranged. Refunds of the Tutor’s fee are a matter between you and the Tutor; where the Tutor refunds a lesson, we will refund the corresponding Agency Fee.

6.2 Your right to cancel this agreement. You may cancel your agreement with us, without reason, within 14 days of registering, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. By booking a lesson within that period you request that our services begin during the cancellation period; if you then cancel, you must pay for services already supplied (the Agency Fee for lessons already delivered or chargeable). To cancel, email info@withit-tutors.com or use the model cancellation form provided at registration.

6.3 Nothing in these terms affects your statutory rights, including your rights under the Consumer Rights Act 2015 to services performed with reasonable care and skill.

7. Non-circumvention

7.1 Our Agency Fee is how we are paid for finding, vetting and introducing Tutors. For 24 months after the last lesson delivered by a Tutor we introduced, you agree not to engage that Tutor (or arrange for anyone else to engage them for the Learner’s benefit) other than through the Platform, without our prior written consent. If you do, the Agency Fee remains payable for each lesson delivered, as our charge for the introduction from which that tuition resulted.

8. Safeguarding

8.1 Any safeguarding concern should be reported immediately to the Designated Safeguarding Lead of WITH-IT TUTORS LLP, Alexander Elliott (07564 064664).

9. Data protection

9.1 We process your and the Learner’s personal data as a controller, in accordance with UK data protection law and our Privacy Notice (available from info@withit-tutors.com). We share your and the Learner’s details with Tutors for the purpose of the introduction and the tuition; each Tutor is an independent controller of the data they receive and is contractually bound to use it only for delivering tuition, keep it secure and keep it confidential.

10. Complaints

10.1 Complaints may be raised in writing to info@withit-tutors.com and will be acknowledged within 5 business days. Complaints about our agency services may also be raised with the Fair Work Agency, the state regulator of employment agencies (contact@fairworkagency.gov.uk, 020 4566 5333).

11. Liability

11.1 Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud, or for any liability that cannot lawfully be excluded or limited, and nothing affects your statutory rights.

11.2 Subject to clause 11.1: the tuition is provided by the Tutor under your contract with them, and the Tutor, not WITH-IT TUTORS LLP, is responsible for its delivery, quality and conduct; and our total liability to you in connection with our services is limited to the Agency Fees you have paid us in the 12 months before the claim arose.

11.3 We are not liable for losses that are not foreseeable, or that arise from your breach of these terms or of the Standard Tuition Terms.

12. Term, termination and changes

12.1 These terms apply from your registration and continue until either party ends them by written notice. Termination does not affect fees already due, and does not of itself end any subsisting booking with a Tutor, which is governed by the Standard Tuition Terms.

12.2 We may suspend or close your account immediately where necessary to protect a child or a Tutor, where payments are outstanding, or for material breach of these terms.

12.3 We may update these terms from time to time. Material changes will be notified at least 30 days in advance and apply only to bookings made after they take effect. If you do not accept a material change, you may end these terms before it takes effect.

13. General

13.1 These terms are governed by the law of England and Wales. You may bring proceedings in the courts of England and Wales or, if you live in Scotland or Northern Ireland, in your local courts. If any provision of these terms is found invalid, the remainder continues in effect. We may assign these terms to a successor of our business; you may not assign them without our consent.

STANDARD TUITION TERMS (THE CONTRACT BETWEEN CLIENT AND TUTOR)

1. Formation and the role of WITH-IT TUTORS LLP

1.1 These Standard Tuition Terms apply between the Tutor and the Client and a contract on these terms is formed each time the Client books a lesson with the Tutor through the Platform, at the rate displayed at booking. WITH-IT TUTORS LLP acts only as an employment agency introducing the Tutor to the Client: it is not a party to this contract, does not provide the tuition, and does not employ the Tutor.

2. The services

2.1 The Tutor will provide online tuition to the Learner in the agreed subject(s), delivered with reasonable care and skill via platforms approved by WITH-IT TUTORS LLP. The Tutor determines how the tuition is delivered, including teaching style, lesson plans and materials.

3. Free introductory consultation

3.1 Where offered by the Tutor, the parties may hold one free introductory consultation of up to 1 hour to assess the Learner’s needs, agree goals and confirm approach. No fee is payable for the consultation by either party.

4. Fees, scheduling, cancellation and overruns

4.1 The Tutor’s fee is the hourly rate displayed at booking, being the Tutor’s standard rate or such other rate as the Tutor and the Client have agreed. Where Section A clause 5.8 applies, the Tutor’s fee for the Client’s first two paid lessons is 150% of the Tutor’s standard rate, as displayed at booking, reverting to the standard rate thereafter. The rate is inclusive of the Tutor’s costs; no expenses are payable unless agreed in advance in writing. Fees are paid through the Platform by Stripe, directly to the Tutor. The Agency Fee of WITH-IT TUTORS LLP is payable separately by the Client under the Client’s own terms with WITH-IT TUTORS LLP, and no part of it is payable by the Tutor.

4.2 The Tutor and the Client may agree a change to the Tutor’s rate at any time. Once agreed, the Tutor will notify WITH-IT TUTORS LLP so that the Platform is updated, and the new rate applies to lessons booked after the update. If the parties do not agree a change, the Tutor may change their rate for future lessons on not less than 7 days’ notice to the Client through the Platform, and the new rate applies only to lessons booked after the notice period ends. In either case the Client is free to accept the new rate, agree a different rate with the Tutor, or end the arrangement under clause 9.

4.3 Lessons are scheduled through the Platform or through communication channels that always include the Client. The Tutor may create and edit lessons on the Platform to reflect what the parties agree.

4.4 If the Client cancels a lesson with less than 6 hours’ notice before the scheduled start time, 100 per cent of the agreed session fee is payable. The Tutor may waive this fee at their discretion.

4.5 If a lesson cancelled within the 6-hour window is rescheduled, the rescheduled session is treated as a new booking and charged accordingly; the original cancelled session remains payable in full unless waived by the Tutor.

4.6 If the Client cancels with more than 6 hours’ notice, no fee is payable for that lesson. If the Tutor cancels a lesson, no fee is payable and the lesson will be rearranged.

4.7 Lessons end at the scheduled time. No additional time is chargeable unless expressly agreed in advance.

5. Substitution

5.1 With the Client’s prior consent, the Tutor may arrange for a suitably qualified substitute to deliver a lesson, on not less than 72 hours’ notice (or as soon as reasonably practicable in an emergency), provided the substitute has completed the full vetting process of WITH-IT TUTORS LLP, including an Enhanced DBS check and a right to work check, before teaching. The Tutor remains responsible for the performance of the tuition and for paying the substitute.

6. Safeguarding and conduct

6.1 Lessons take place only on approved platforms. Safeguarding concerns will be reported to the Designated Safeguarding Lead of WITH-IT TUTORS LLP, Alexander Elliott (07564 064664).

7. Data protection and confidentiality

7.1 Each party will comply with UK data protection law. The Tutor will use the Client’s and Learner’s personal data only to deliver tuition under this contract, will keep it secure, and will treat all information about the Client and Learner as confidential.

8. Liability

8.1 The Tutor is responsible for the quality and conduct of the tuition. Nothing in this contract excludes or limits liability that cannot lawfully be excluded or limited, including for death or personal injury caused by negligence, or affects the Client’s statutory rights.

9. Termination

9.1 Either party may end the tuition arrangement by 14 days’ written notice, or immediately for serious breach. Fees for lessons already delivered, and any cancellation fees due under clause 4, remain payable.

10. General

10.1 This contract is governed by the law of England and Wales. The Client may bring proceedings in their local courts if resident in Scotland or Northern Ireland.
